COURSE PRESENTATION AGREEMENT

This Agreement, by and between My Own Business, Inc., a California Nonprofit Public Benefit corporation, having a place of business at 13181 Crossroads Parkway North, Suite 190, City of Industry, CA 91746 (hereinafter referred to as "MOBI"), and __________________________ whose address is ________________________________________ (hereinafter referred to as "FACILITATOR") is effective as of the date of the last signature below. FACILITATOR wishes to use the MOBI course materials in FACILITATOR's entrepreneurship training classes and MOBI is willing to grant FACILITATOR this right. Therefore in consideration of the mutual agreements contained herein, MOBI and FACILITATOR agree as follows:

1. Rights. MOBI hereby grants to the FACILITATOR a non-exclusive, limited, royalty-free license (the "License") to use, copy, display, perform, and distribute the MOBI textbook, the information contained in the My Own Business course materials, quizzes and PowerPoint slides (the "Content"), solely for the Purposes described herein, and subject to the Limitations described herein. FACILITATOR shall also be allowed to incorporate the Content with the proprietary content of FACILITATOR into overhead or PowerPoint slides for presentation to classroom students in FACILITATOR's entrepreneurship classes.
   
   
2. Purpose. It is anticipated that the Content will be used, alone or in combination with proprietary content of FACILITATOR to provide information to FACILITATOR's entrepreneurship course, so long as the MOBI Content is separately identifiable as the property of and emanating from MOBI.
   
   
3. Textbooks. FACILITATOR agrees to furnish each student with a copy of the My Own Business textbook per quantity discounts outlined and available on the My Own Business website at www.myownbusiness.org/special/order.php?product=11.
   
   
4. Limitations.
   1. Other than furnishing each student with a MOBI textbook, FACILITATOR shall not distribute for commercial purposes any portion of the Content, print-outs, or CD-ROMs containing material portions of the Content, or any derivative works of the Content. FACILITATOR shall not post or distribute any portions of the Content electronically via email or the Internet.
      
      
   2. FACILITATOR acknowledges that all right, title and interest in and to the Content, including all copyrightable materials and works, and adaptations and derivative works, shall remain solely with MOBI.
      
      

   3. FACILITATOR shall (i) display MOBI symbols and notices clearly and sufficiently indicating the trademark and copyright status and ownership of the Content. FACILITATOR will not represent that FACILITATOR has, any right, title, or interest in or to such Content other than the license expressly granted herein, (ii) nor shall FACILITATOR file or seek registration of a trademark or copyright based on the Content or a derivative thereof without the advance prior written approval of MOBI.
      
      

5. Term.
   1. The "Term" of the License shall be for one year from the date of this Agreement. The Term may be extended upon MOBI's sole discretion. Any such extension must be in a document signed by both parties. However, MOBI shall be under no obligation to renew the License.
      
      
   2. Upon termination of this Agreement FACILITATOR's License in the Content will immediately terminate and FACILITATOR shall no longer have the right to use, promote, distribute, advertise or otherwise exploit the Content and shall remove all Content from FACILITATOR's materials.
      
      
   3. Paragraphs 3 through 7 hereof shall survive any termination of this Agreement.
      
      
6. Disclaimer. My Own Business and their employees and agents specifically disclaim any responsibility for any advice presented in this course including particularly legal advice, tax advice, accounting advice and any other advice. All students are advised not to rely on anything contained in the course materials but to consult with his or her own professional advisors for all such advice. Any suggestions contained in the materials in this course are illustrative only and may not pertain to a particular situation and laws may change between the time of preparation and the time of presentation, or may not pertain to a student's jurisdiction.
   
   
7. General. This Agreement:
   1. may not be assigned by FACILITATOR without the prior written approval of MOBI;
      
      
   2. constitutes the entire understanding and agreement of the parties.
      
      
   3. may be amended or modified only by a writing signed by both parties,
      
      
   4. shall be governed by, and construed in accordance with, the laws of the State of California.
